Tages Group enters the private equity market together with Francesco Trapani by signing a strategic partnership with VAM Investments. Gattai, Minoli, Agostinelli & Partners and DWF acted as legal advisors in the deal.
The agreement provides for the acquisition by Tages – an international investment company active in the segment of alternative funds, infrastructure and impaired loans/NPL – of a 34% stake in VAM Investments and a direct investment by Francesco Trapani with a share of 15% of VAM Investments. Francesco Trapani, shareholder and Vice Chairman of Tages, will assume the office of Executive Chairman of VAM Investments, while Marco Piana will retain the position of Chief Executive Officer.
The agreement also provides the possibility of a further investment in the next three years which would bring Tages to hold 100% of VAM Investments and the current shareholders of VAM, Marco Piana and Giuliano Palazzo, to become shareholders of Tages.
The transaction allows VAM Investments to increase the scale of its deal by deal private equity transactions, to benefit of important synergies with Tages and to strengthen the team with the entry, as Excutive Chairman, of Francesco Trapani, an entrepreneur and professional of high profile with a strong know-how in the consumer brand sector and important experience in private equity. The VAM team, made up of six professionals led by Piana and Palazzo, will also count on the contribution of the other partners of Tages, including Umberto Quadrino, Panfilo Tarantelli, Sergio Ascolani and Salvatore Cordaro, who have significant skills in investment activity.
The team of Gattai, Minoli, Agostinelli & Partners who assisted the parties in structuring the investment transaction and in the negotiation of the contractual documentation was formed by partner Alessandro Dolce and associate Andrea Cerulli Irelli.
